The Annual License Fee (valid maximum of 365 days only per academic year) will expire at the end of each academic year.
Thecontract can be terminated at the end of an academic year with 45 days prior notice only upon mutual agreement if nexquare is unable to provide the services as committed in this proposal.
As a new-age SaaS platform, nexquare is continuously upgraded via inputs from research, school feedback etc. The institution will be entitled to all such upgrades relating to the defined scope of work. These systematic upgrades would be provided without additional costs.
Customization of the nexquare platform is primarily driven through configuration settings. The product has been built with and is actively used by schools across curricula and geographies. All modules and features have been tested to meet routine requirements of schools. All customization requirements other than those mentioned will be charged separately on a fair basis.
Historical academic data for a maximum of 3 years can be uploaded from the front end. It will be the institution’s responsibility to ensure data accuracy. First time data upload will be led by nexquare.
Proprietary Data will always be the property of the institution and will be returned on successful termination of the contract. Data will not be shared with third party institutions.
The institution should clear invoices within thirty days of being raised.
Excludes hardware, operating system, database, and other third-party software cost.
Pricing does not include any customs duties, government taxes or other statutory levies as per applicable laws.
The institution explicitly agrees not to disclose this price to anyone, without our express written agreement, as it will put unfair pressure on our economics and on fairness to other clients.
The institution will be willing to be an evangelist of the nexquare platform should they be happy with its performance and be willing to give recommendations.
The non-disclosure agreement is applicable to all parties. nexquare and the institution shall use confidential information and data only for the purposes of this project and shall not disclose confidential information to third parties without the explicit consent of the other.
